AGREEMENT BETWEEN USERS AND USA.DukesofDaisy.com

The USA.DukesofDaisy.com Web Site is comprised of various Web pages operated by DukesofDaisy.com.

The USA.DukesofDaisy.com Web Site is offered to you on condition of your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the USA.DukesofDaisy.com Web Site constitutes your agreement to all such terms, conditions, and notices.

It is agreed as follows:

“Definitions

“You”, “Your” or “Client” means the person using the website and/or booking a Friend through the platform.

“Friend” means the individual offering companionship services through Dukes of Daisy.

“We”, “Us”, “Our” or “Dukes of Daisy” means Dukes of Daisy USA Attachment.tiff and its operators.

1. Account Information

Friends must notify Dukes of Daisy promptly of any changes to their contact details or any other information necessary to keep account records accurate and up to date.

2. Privacy

We agree not to sell or distribute your personal information to third parties except where required by law or necessary to provide platform services.

3. Agreement Commencement

This agreement becomes effective upon acceptance during account registration as a Friend and/or when a Client hires a Friend through the platform. The agreement remains in effect until the account or listing is cancelled.

4. Website Changes

Dukes of Daisy reserves the right to modify, suspend, or update the website and its services at any time without prior notice.

5. Proper Use of the Platform

You, Friends, and Users agree not to use the website in any unlawful, harmful, fraudulent, or unauthorized manner, including but not limited to:

• Attempting unauthorized access to accounts or systems
• Hacking or manipulating website code
• Using credentials belonging to another person without permission
• Using the platform in any way that could damage the reputation of Dukes of Daisy

5.1 Illegal or Explicit Content

Users and Friends agree not to upload, post, or distribute illegal, explicit, or prohibited content or images, including any material promoting prostitution, escorting, trafficking, or unlawful services.

Violation of this clause may result in immediate removal from the platform without refund. Any pending or completed booking earnings may also be withheld where permitted by law.

6. Platform Services

Dukes of Daisy promotes Friend listings to potential Clients through the website. Clients may choose to book Friends for social activities, companionship, outings, events, or virtual companionship services strictly in accordance with these Terms.

6.1 Physical Boundaries & Conduct

Clients and Friends agree that bookings are strictly non-sexual and platonic.

Under no circumstances may either party:

• Touch, grab, kiss, grope, or suggest intimacy
• Request sexual acts or inappropriate conduct
• Behave in a sexually suggestive manner

If a Client breaches these rules, the Friend may terminate the booking immediately. In such cases, the Client forfeits any right to a refund.

7. Account Removal & Termination

You may request removal of your account and personal information at any time.

Dukes of Daisy reserves the right to suspend or terminate accounts immediately where necessary.

7.1 Grounds for Suspension

Examples include but are not limited to:

• Offering illegal or sexual services
• Repeatedly failing to attend bookings
• Excessive negative feedback
• Being repeatedly unreachable for confirmed bookings
• Violating platform rules or safety standards

8. Independent Contractor Relationship

Nothing in this agreement creates a partnership, employment relationship, agency relationship, or joint venture between Dukes of Daisy, Friends, or Clients.

Friends operate as independent contractors.

9. Liability Disclaimer

Dukes of Daisy is not responsible for incidents, disputes, injuries, losses, damages, or conduct occurring before, during, or after bookings.

Clients and Friends are solely responsible for their own actions and safety.

Both parties are responsible for arranging safe public meeting locations.

10. No Guarantee of Bookings

Dukes of Daisy does not guarantee any minimum number or frequency of bookings. Bookings depend on market demand and the attractiveness of a Friend’s profile to Clients.

11. Cancellation Policy for Friends

Friends control their availability settings through their account dashboard. By marking availability, Friends allow Clients to prepay for bookings.

Paid bookings are considered accepted bookings.

If a Friend cancels a booking with less than 24 hours notice, fails to attend, or otherwise prevents the booking from proceeding, the Friend may be charged a late cancellation fee equal to 50% of the booking value.

Where Dukes of Daisy’s commission is less than 50%, the cancellation fee will be limited to the applicable commission percentage.

Dukes of Daisy may deduct such fees from any outstanding earnings payable to the Friend.

Same-day bookings may be exempt from cancellation penalties at Dukes of Daisy’s discretion.

The cancellation fee reflects administrative costs and lost commission associated with the cancelled booking.

Dukes of Daisy may issue refunds to Clients while retaining commission where appropriate.

11.1 Payments & Refund Policy

All bookings must be prepaid in full before the booking begins.

Accepted payment methods may include:

• Credit/debit cards
• ACH/bank transfer
• Other approved payment methods

Payments made to secure bookings are generally non-refundable.

If a Client cancels more than 24 hours before the booking, the payment may be transferred to a future booking.

Transferred credits must be used within 60 days or they will expire.

If a Client cancels within 24 hours of the booking, the payment is forfeited and cannot be transferred.

Once a Friend arrives for the booking, payments become non-transferable and non-refundable.

Outstanding Friend earnings will generally be paid within 5 business days following successful completion of the booking.

11.2 Booking Initiation

Once the Friend arrives and the booking begins, any disputes arising afterward are solely between the Client and Friend.

11.3 Virtual Booking Interruptions

If a virtual booking cannot proceed due to power outages, internet failure, technical disruptions, or the Client failing to attend, payment may still be released to the Friend for reserved time.

11.4 Friend No-Show Policy

If a Friend fails to attend a booking, Dukes of Daisy may attempt to provide a suitable replacement Friend.

If no replacement is available, the Client may request:

• A refund
• A booking credit
• A rescheduled booking

Refund requests must be submitted within 24 hours of the original booking time. All service fees paid remain non-refundable.

Credits must be used within 90 days.

11.5 Substitute Friend Travel Expenses

If a substitute Friend has already begun traveling before a booking is cancelled, the substitute Friend may be reimbursed for reasonable travel expenses incurred.

Travel reimbursement does not entitle the Friend to the full booking fee.

Dukes of Daisy reserves the right to recover reasonable travel costs from the cancelling Client where applicable.

12. Strictly Platonic Services

Dukes of Daisy promotes companionship services only.

Sexual services, escorting, prostitution, solicitation, trafficking, or any illegal activities are strictly prohibited.

Neither Clients nor Friends may request, offer, advertise, or accept payment for sexual conduct.

12.1 Booking Termination for Misconduct

Bookings are strictly platonic.

No kissing, touching, grabbing, stroking, sexual comments, or suggestive conduct is permitted.

If a Friend feels unsafe or uncomfortable, they may terminate the booking immediately while retaining full payment.

In these circumstances, the Client forfeits all refund rights, including prepaid future bookings with that Friend.

13. Listing Options & Fees

Dukes of Daisy offers multiple listing options for Friends.

Basic listings (free account)

Under Basic Listings:

• Dukes of Daisy handles bookings and payments
• Dukes of Daisy manages communication and listing administration
• Dukes of Daisy earns commission on completed bookings

Standard commission is 50%.

Friends enrolled in eligible premium managed plans may receive reduced commission rates, including rates as low as 15% during active paid subscription periods.

If Dukes of Daisy renews a listing at no cost due to lack of bookings, commission may revert to 50%.

Deferred listing fees for complimentary listing periods may be recovered from future booking earnings.

Paid Listings

Under Verified and Featured Pro Accounts:

• Friends manage their own bookings and communication
• Friends retain 70% of earnings with verified account or 85% with a Featured Pro account
• Dukes of Daisy may charge platform processing fees directly to Clients

Monthly listing fees apply – $49 for verified and $79 for Featured pro.

14. Subscription Refund Policy

Subscription fees for Friend listings are refundable only before the listing becomes publicly active.

Approved refunds may be subject to an administrative fee equal to the greater of:

• $15 USD
• 10% of the subscription amount

Once a listing is live, subscription fees become non-refundable except where required by law.

Approval times may vary based on subscription level.

14.1 Subscription Renewals & Failed Payments

Subscriptions automatically renew using the payment method on file unless cancelled before renewal.

Price Changes

Subscription pricing may increase periodically due to inflation, operating costs, or business adjustments. Reasonable notice will be provided before changes take effect.

Cancellation

Subscriptions may be cancelled at any time.

To avoid renewal charges, cancellation must occur at least 24 hours before the renewal date.

Failed Payments

If a subscription payment fails, Dukes of Daisy may retry the payment method for outstanding authorized amounts.

Users authorize recurring billing by maintaining an active subscription.

15. Managed Listings With No Bookings

If a Managed Friend receives no bookings during a paid listing period, Dukes of Daisy may extend the listing at no additional subscription cost.

During such complimentary periods, commission may increase to 50%.

Reduced commission rates apply only after a paid subscription becomes active again.

16. Off-Platform Communication & Circumvention

All communication between Clients and Friends introduced through Dukes of Daisy must remain on the platform unless expressly authorized.

Friends may not:

• Share personal contact information
• Arrange bookings privately
• Accept direct payments outside the platform
• Encourage Clients to avoid platform fees

16.1 Breach & Loss of Earnings

Where off-platform arrangements result in lost revenue or business opportunities, Dukes of Daisy may recover reasonable estimated losses including:

• Lost commission
• Diverted repeat bookings
• Administrative costs

16.2 Right of Deduction

Dukes of Daisy may deduct amounts owed under these Terms from:

• Pending Friend earnings
• Future payouts

Additional recovery rights may apply where losses exceed withheld funds.

17. AI Assisted Messaging & Listing Optimization

Dukes of Daisy may use artificial intelligence systems to assist with:

• Automated responses to inquiries
• Listing optimization
• Profile wording improvements
• Visibility and booking performance enhancements

AI-generated responses are intended to remain consistent with platform rules and the strictly platonic nature of services.

Users may opt out by contacting Dukes of Daisy with the phrase:

“AI Opt Out”

Continued use of the platform without opting out constitutes consent to these AI-assisted features.

Safety, Conduct & Platform Integrity Policy

1. Platonic Services Only

All services are strictly non-sexual and platonic.

Prohibited conduct includes:

• Sexual services or requests
• Escort arrangements
• Explicit communication
• Inappropriate physical contact

Violations may result in immediate suspension or permanent removal.

2. Mandatory On-Platform Communication

All communication must remain within the Dukes of Daisy platform.

3. Platform Payment Requirement

• Recover demonstrable losses

5. Safety & Conduct Standards

Bookings must take place respectfully and safely.

Friends may decline or terminate bookings where they feel unsafe or uncomfortable.

Harassment, intoxication, drug use, abuse, or boundary violations are prohibited.

6. Reporting & Enforcement

Dukes of Daisy reserves sole discretion regarding investigation and enforcement of platform rules.

Violations may result in suspension, termination, or legal action where appropriate.

MODIFICATION OF THESE TERMS OF USE

USA.DukesofDaisy.com reserves the right to change the terms, conditions, and notices under which the USA.DukesofDaisy.com Web Site is offered, including but not limited to the charges associated with the use of the USA.DukesofDaisy.com Web Site.
